These Terms govern your use of SyncroNest, a client and transaction management platform for real estate agents operated by SyncroNest LLC, a Texas limited liability company (“SyncroNest,” “we,” “us”). By creating an account or using the service you agree to these Terms. If you are using SyncroNest on behalf of a brokerage or team, you represent that you are authorized to accept these Terms for it.
Your account
You must provide accurate information, keep your login credentials secure, and are responsible for activity under your account. Tell us promptly at hello@syncronest.com if you believe your account has been compromised. You must be at least 18.
Customer data and data processing
As between the parties, Customer retains all right, title, and interest in information, files, documents, and other content submitted to the Service (“Customer Data”). Customer grants SyncroNest a limited, nonexclusive right to host, store, access, transmit, and otherwise process Customer Data solely to provide, secure, maintain, and support the Service, comply with applicable law, and as otherwise instructed by Customer.
Customer is the controller or business responsible for determining the purposes and means of processing personal data concerning Customer’s clients, prospects, and transaction participants. SyncroNest acts as Customer’s processor or service provider with respect to that data. SyncroNest acts as an independent controller for account-registration information, billing-administration information, service-usage information, security logs, support communications, and other information processed for SyncroNest’s own legitimate business and legal purposes.
Customer represents that it has all rights, notices, consents, and other lawful authority necessary for SyncroNest and its subprocessors to process Customer Data as contemplated by these Terms. Customer is responsible for responding to privacy requests from its clients. SyncroNest will provide commercially reasonable assistance with requests involving Customer Data.
If Customer requires a separate data processing agreement, the parties may execute SyncroNest’s then-current Data Processing Addendum (“DPA”). If there is a conflict concerning the processing of personal data, the DPA will control over these Terms.
Acceptable use
You agree not to:
- use SyncroNest for anything unlawful, or to store data you have no right to store;
- upload malware, or attempt to breach security or access another account’s data;
- reverse engineer, resell, or overload the service; or
- use the service to send unsolicited bulk messages.
Real estate-specific responsibilities
Customer remains solely responsible for compliance with applicable real estate licensing requirements, brokerage policies, fair-housing laws, advertising rules, disclosure obligations, professional standards, transaction deadlines, and duties owed to clients and other transaction participants.
Customer represents that it has all necessary rights and permissions to upload, display, and process MLS-derived data, listing information, photographs, transaction documents, and other third-party materials. Customer may not use the Service to scrape, reproduce, distribute, or commercially exploit MLS or third-party data in violation of applicable licenses, rules, or agreements.
Any property description, home-value figure, market estimate, or AI-generated analysis available through the Service is informational only and is not an appraisal, comparative market analysis, broker price opinion, or guarantee of market value. Customer must independently verify such information before using or communicating it.
SyncroNest is not a real estate broker, transaction coordinator, attorney, title company, lender, escrow agent, appraiser, or inspector. The Service must not be used as the sole method of verifying payment or wire instructions. Customer and its clients should independently verify all payment and wire instructions through a trusted communication channel before transferring funds.
AI features
The Service includes optional artificial-intelligence features. When Customer affirmatively uses an AI feature, Customer instructs and authorizes SyncroNest to transmit the relevant Customer Data—including selected client information, notes, questions, and document contents—to SyncroNest’s AI service provider for the purpose of generating a response.
AI output may be incomplete, inaccurate, outdated, biased, or unsuitable for Customer’s intended purpose. Customer must independently review all AI output before relying on it, placing it in a transaction record, or communicating it to a client or third party. AI output does not constitute legal, financial, tax, appraisal, lending, title, inspection, brokerage, fair-housing, or other professional advice.
Customer may not use the AI features to discriminate or engage in unlawful steering; infer protected characteristics; determine housing, credit, lending, or insurance eligibility; generate discriminatory advertisements or communications; or make a material housing decision without appropriate human review.
Customer should not submit Social Security numbers, financial-account credentials, wire instructions, government-identification numbers, health information, or other highly sensitive information unless SyncroNest expressly authorizes that category of information. Neither SyncroNest nor its AI provider will use Customer Data submitted through the AI features to train general-purpose AI models unless Customer expressly authorizes that use.
Plans, trials, and billing
SyncroNest may be offered free during a beta or trial period. When paid subscriptions apply, fees are billed in advance for the plan and billing cycle you select and renew automatically until cancelled. You can cancel at any time, effective at the end of the current billing period. Fees are non-refundable except where required by law. We may change plans or prices on reasonable advance notice; changes take effect on your next renewal.
Security and security incidents
SyncroNest will maintain commercially reasonable administrative, technical, and organizational safeguards designed to protect Customer Data against unauthorized access, acquisition, use, alteration, or disclosure.
If SyncroNest confirms unauthorized access to or acquisition of Customer Data that requires notification under applicable law (“Security Incident”), SyncroNest will notify the affected Customer without undue delay after confirmation. SyncroNest will provide reasonably available information concerning the nature of the Security Incident, the affected data, the corrective actions taken, and information reasonably necessary for Customer to satisfy its legal notification obligations.
SyncroNest may use subprocessors to provide the Service and will require subprocessors that process Customer Data to maintain appropriate confidentiality, security, and data-protection obligations. SyncroNest remains responsible for its contractual obligations notwithstanding its use of subprocessors. Additional incident-response procedures, subprocessor terms, and security measures may be set forth in an applicable DPA.
Third-party services
SyncroNest runs on third-party infrastructure — including Supabase, Vercel, Anthropic, and Resend — and email delivery and AI responses depend on those providers. We are not responsible for their acts, outages, or changes, though we will make reasonable efforts to keep the service working.
Availability
We aim to keep SyncroNest available and reliable but do not guarantee uninterrupted or error-free service. We may modify, suspend, or discontinue features, and will give notice of material changes where practical.
Disclaimers
The service is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.
Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, REGARDLESS OF THE THEORY OF LIABILITY.
EXCEPT FOR THE EXCLUDED CLAIMS BELOW, SYNCRONEST’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE FEES PAID OR PAYABLE BY CUSTOMER TO SYNCRONEST DURING THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR $100 IF CUSTOMER PAID NO FEES.
These limitations do not apply to fraud, willful misconduct, gross negligence, infringement or misappropriation of intellectual-property rights, Customer’s payment obligations, or liability that applicable law does not permit the parties to limit. Unless an applicable DPA or Order Form expressly provides otherwise, the foregoing cap applies in the aggregate to all claims, including indemnification claims.
Indemnification
You will defend and indemnify SyncroNest against claims arising from your content, your use of the service in breach of these Terms, or your handling of your clients’ information.
Termination
You may stop using SyncroNest and delete your account at any time. We may suspend or terminate access for a material breach of these Terms or to protect the service or other users. For 30 days after termination you may contact us to export your data, after which it may be deleted.
Changes to these Terms
We may update these Terms as the service changes. If a change is material we will update the date above and notify you by email or in the app. Continued use after a change means you accept the updated Terms.
Governing law and venue
These Terms and any dispute arising out of or relating to these Terms or the Service are governed by the laws of the State of Texas, without regard to conflict-of-laws principles. Except where either party seeks temporary or emergency injunctive relief, the state courts located in Montgomery County, Texas, and the United States District Court for the Southern District of Texas, Houston Division, will have exclusive jurisdiction. Each party consents to personal jurisdiction and venue in those courts.
